Terms and Conditions

Welcome to Neon Deer Data Labs, Inc. These terms and conditions ("Terms") govern your use of our website and general interactions with our company. Professional services are governed by separate Professional Services Agreements. By accessing or using our website, you agree to these Terms.

1. Scope of Terms

These Terms govern all access to and use of Neon Deer Data Labs, Inc.’s website, marketing materials, public content, and any publicly available tools, applications, integrations, or SDK‑based utilities (collectively, the “Site Services”).

Notwithstanding the foregoing, any professional consulting, data analytics, custom development, or other business services provided by Provider under a separate Professional Services Agreement (“PSA”) shall be governed exclusively by such PSA, which shall supersede these Terms with respect to those contracted services.

2. Intellectual Property

All content and materials available on or through the Site Services—including, without limitation, text, graphics, designs, icons, images, audio, video, and software (collectively, “Content”)—are owned by Neon Deer Data Labs, Inc. (“Provider”) or its licensors, except as set forth below, and are protected by U.S. and international copyright, trademark, patent, trade secret, and other intellectual property laws.

Third‑Party Content: Certain Content—such as logos, trademarks, or other materials belonging to third parties (collectively, “Third‑Party Content”)—is used by Provider under license, with permission, or pursuant to fair use. All Third‑Party Content remains the sole property of its respective owners. Your use of Third‑Party Content is governed by the terms under which Provider obtained permission, and these Terms do not grant you any rights in Third‑Party Content beyond those expressly provided.

Limited License: Provider grants you a limited, non‑exclusive, non‑transferable, revocable license to access and use the Site Services and Content for your personal, non‑commercial purposes, in accordance with these Terms. Any other use—including copying, modifying, distributing, performing, displaying, or creating derivative works of the Site Services or Content—is strictly prohibited without Provider’s prior written consent.

Trademarks: All trademarks, service marks, and trade names (collectively, “Marks”) displayed on the Site Services are the registered and unregistered Marks of Provider or their respective owners. Nothing herein grants any right to use any Marks without the express prior written permission of the owner.

Professional Services Deliverables: Any deliverables provided under a separate Professional Services Agreement (“PSA”) are governed by the IP ownership and licensing provisions of that PSA, which may differ from the terms above.

3. Use of Website

You agree to use our website only for lawful purposes and in accordance with these Terms. You're responsible for any activity that occurs under your account or on your behalf. Unauthorized or abusive use may result in suspension or termination of access.

You agree to access and use the Site Services only for lawful purposes and in accordance with these Terms. You may not use the Site Services to:

  • Engage in any unlawful, fraudulent, or harmful activity;
  • Interfere with or disrupt the operation, servers, or networks of the Site Services;
  • Transmit spam, viruses, malware, or other malicious code;
  • Harvest or collect information about other users without consent;
  • Use automated tools (e.g., bots, scrapers, spiders) to access or interact with the Site Services without Provider’s prior written permission.

Note: Certain features may require authentication or integration with third‑party services. Any data you share through those processes is governed by the third‑party’s terms and our Privacy Policy.

Provider reserves the right to investigate and take appropriate action—including suspension of access and referral to law enforcement—against any user who violates these Terms.

4. Privacy & Data Protection

Our Privacy Policy explains how we collect, use, and safeguard your personal information. By using our website, you consent to the practices described there.

5. Website Availability & Warranty

The Site Services are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, Provider disclaims all warranties, whether express or implied, including, without limitation, warranties of merchantability, fitness for a particular purpose, availability, and non‑infringement. Provider makes no guarantee that the Site Services will be uninterrupted, error‑free, or secure.

6. Limitation of Liability

To the fullest extent allowed by law, Neon Deer Data Labs, Inc. will not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with these Terms or your use of our website. In any event, our total liability will not exceed the General Cap Amount in our Professional Services Agreement (1× fees paid in prior 12 months.)

7. Governing Law & Jurisdiction

These Terms are governed by the laws of the State of Washington. Any dispute must be brought in the state or federal courts located in the State of Washington.

8. Modifications to Terms

Provider may amend these Terms at any time by posting the revised Terms on the Site. The revised Terms will become effective on the date indicated by the “Last updated” notation. Your continued access to or use of the Site Services after that date constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically.

9. Professional Services

All professional consulting, data analytics, and business services are governed by separate Professional Services Agreements that include specific terms for deliverables, intellectual property ownership, liability limitations, and other business terms. Those agreements supersede these Terms for contracted services.
